These Terms & Conditions ("Terms") govern your use of the website and Digital Product Passport (DPP) platform (the "Service") operated by Tracetex 360 Innovations (OPC) Pvt Ltd.("Tracetex", "we", "us"). By creating an account or otherwise using the Service, you ("you" or "User") agree to these Terms.
1. The Service
Tracetex provides a platform that lets brands and manufacturers submit garment information, generate Digital Product Passports, and publish QR-enabled provenance data. The features available depend on your subscription plan.
2. Eligibility and account
You must be of legal age in your jurisdiction (and have authority to bind your organisation, if contracting on behalf of one) to use the Service. You agree to provide accurate information, keep it up to date, and maintain the confidentiality of your account credentials. You are responsible for all activity under your account.
3. Licence and acceptable use
Subject to these Terms and your subscription, Tracetex grants you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes. You must not:
- use the Service unlawfully, or to send fraudulent, deceptive, or spam content;
- infringe any intellectual property, privacy, or other rights;
- interfere with the security of the Service or attempt to gain unauthorised access (including malware, probing, or scraping);
- reverse engineer, decompile, resell, or redistribute the Service or its underlying software;
- circumvent technical limits, plan restrictions, or rate limits.
4. Intellectual property
Tracetex and its licensors retain all right, title, and interest in and to the Service, including all software, documentation, branding, and underlying technology. Nothing in these Terms transfers ownership to you. You retain ownership of the content you submit and grant Tracetex a limited licence to host, process, and display it solely to provide the Service.
5. Payments and subscriptions
Paid plans are billed in advance on a recurring basis. Billing, tax, cancellation, and refund mechanics are described in our Refund Policy.
Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time through your account; cancellation takes effect at the end of the current paid period unless otherwise required by law.
6. Service availability
We strive to keep the Service available, but we do not guarantee that it will be uninterrupted, timely, secure, or error-free. We may modify, suspend, or discontinue features from time to time.
7. Suspension and termination
We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay amounts when due, present a security or fraud risk, or repeatedly or seriously violate our policies. You may terminate your account at any time. Upon termination, your right to use the Service ends; we may retain or delete your data in accordance with our Privacy Notice and applicable law, subject to a reasonable export window where feasible.
8. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, Tracetex's aggregate liability arising out of or relating to the Service is limited to the fees you paid for the Service in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded under applicable law (such as for fraud, death, or personal injury caused by negligence).
10. Indemnity
You agree to indemnify and hold Tracetex harmless from claims arising out of your content, your use of the Service in breach of these Terms, or your violation of law.
11. Governing law
These Terms are governed by the laws of India. The courts of India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms, except where mandatory consumer protection laws of your country of residence require otherwise.
12. Changes
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
